Gebruiksvoorwaarden Terms of Use

Deze gebruiksvoorwaarden zijn van toepassing op het gebruik van de diensten en software van YeA Solutions, geleverd door YeA Solutions, eenmanszaak van Yermo Abrahams, gevestigd aan de Coulissen 278, 3826 PG Amersfoort (hierna "YeA Solutions", "wij" of "ons"). Door gebruik te maken van onze diensten of software, aanvaardt u deze gebruiksvoorwaarden.

YeA Solutions levert consultancy en maatwerksoftware aan organisaties (hierna "uw organisatie" of "klant") op grond van een afzonderlijke overeenkomst. Als gebruiker krijgt u toegang tot door ons ontwikkelde software doordat uw organisatie u uitnodigt. De commerciele afspraken (zoals prijs, looptijd en opzegging) zijn vastgelegd in de overeenkomst tussen YeA Solutions en uw organisatie; deze gebruiksvoorwaarden regelen uitsluitend uw gebruik van de software als gebruiker.

Artikel 1 -- Definities

• "Software" of "Dienst": door YeA Solutions ontwikkelde maatwerksoftware, inclusief de bijbehorende website, modules, functionaliteit en documentatie;
• "Gebruiker" of "u": de natuurlijke persoon die, na uitnodiging door een organisatie, van de Software gebruikmaakt;
• "Uw organisatie": de klantorganisatie die met YeA Solutions een overeenkomst heeft gesloten en u toegang verleent;
• "Content": alle gegevens die u of uw organisatie in de Software invoert of uploadt.

Artikel 2 -- Toepasselijkheid

Deze gebruiksvoorwaarden gelden voor ieder gebruik van de Software en de website. Afwijkingen gelden uitsluitend indien deze schriftelijk met YeA Solutions zijn overeengekomen. Bij strijdigheid tussen deze gebruiksvoorwaarden en de overeenkomst met uw organisatie, prevaleert ten aanzien van die organisatie de overeenkomst.

Artikel 3 -- De Dienst

YeA Solutions levert consultancy en maatwerksoftware op maat voor organisaties. De Dienst kan webapplicaties, integraties, API's en ondersteunende modules omvatten. YeA Solutions mag de Software van tijd tot tijd doorontwikkelen, wijzigen of uitbreiden om deze te verbeteren of aan wet- en regelgeving te laten voldoen.

Artikel 4 -- Account en toegang

U krijgt toegang tot de Software via een account dat namens uw organisatie wordt aangemaakt. U bent zelf verantwoordelijk voor het vertrouwelijk houden van uw inloggegevens en voor al het gebruik dat via uw account plaatsvindt. Vermoedt u misbruik van uw account, meld dit dan onverwijld bij uw organisatie en bij YeA Solutions. De Software is niet bestemd voor personen jonger dan 16 jaar.

Artikel 5 -- Toegestaan gebruik

U gebruikt de Software op een zorgvuldige en rechtmatige wijze. Het is u in elk geval niet toegestaan om:

• de Software te gebruiken in strijd met deze voorwaarden, de instructies van uw organisatie of toepasselijke wet- en regelgeving;
• de veiligheid, integriteit of beschikbaarheid van de Software te verstoren of te omzeilen, of ongeautoriseerde toegang te verkrijgen;
• de Software of onderdelen daarvan te kopieren, te verkopen, te verhuren, te decompileren of te reverse-engineeren, behoudens voor zover dwingend recht dit toestaat;
• onrechtmatige, beledigende, inbreukmakende of anderszins schadelijke Content in te voeren of te verspreiden.

Artikel 6 -- Door u ingevoerde Content

U behoudt de rechten op de Content die u invoert. U verleent YeA Solutions een gebruiksrecht op die Content voor zover nodig om de Dienst te leveren. U staat ervoor in dat u gerechtigd bent de Content in te voeren en dat deze geen rechten van derden schendt. YeA Solutions verwerkt persoonsgegevens in de Software namens uw organisatie; zie hiervoor de privacyverklaring en de verwerkersovereenkomst tussen YeA Solutions en uw organisatie.

Artikel 7 -- Intellectuele eigendom

Alle intellectuele-eigendomsrechten op de Software, de onderliggende software, de vormgeving, documentatie en doorontwikkelingen berusten uitsluitend bij YeA Solutions of diens licentiegevers. Deze gebruiksvoorwaarden verlenen u uitsluitend een persoonlijk, niet-overdraagbaar gebruiksrecht voor de duur en binnen de grenzen van de toegang die uw organisatie u verleent. Niets in deze voorwaarden strekt tot overdracht van enig recht.

Artikel 8 -- Beschikbaarheid en onderhoud

YeA Solutions spant zich naar beste vermogen in om de Software beschikbaar te houden, maar garandeert geen ononderbroken of volledig foutloze werking. Afspraken over het serviceniveau en de beschikbaarheid zijn vastgelegd in de overeenkomst tussen YeA Solutions en uw organisatie. YeA Solutions mag de Software tijdelijk buiten gebruik stellen voor (spoedeisend) onderhoud.

Artikel 9 -- Privacy

YeA Solutions verwerkt persoonsgegevens in overeenstemming met de AVG. Op het gebruik van de Software is de privacyverklaring van YeA Solutions van toepassing. Voor de gegevens die binnen de Software door uw organisatie worden beheerd, treedt YeA Solutions op als verwerker en is uw organisatie de verwerkingsverantwoordelijke.

Artikel 10 -- Aansprakelijkheid

YeA Solutions levert de Dienst met de zorg van een goed dienstverlener (inspanningsverplichting). Voor zover wettelijk toegestaan geldt het volgende:

• YeA Solutions is jegens u niet aansprakelijk voor indirecte schade, waaronder gevolgschade, gederfde inkomsten, gemiste besparingen en schade door verlies van gegevens;
• de totale aansprakelijkheid van YeA Solutions jegens u is per gebeurtenis (waarbij samenhangende gebeurtenissen als een gelden) beperkt tot vergoeding van directe schade tot een maximum van EUR 10.000;
• deze beperkingen gelden niet voor schade die het gevolg is van opzet of bewuste roekeloosheid van YeA Solutions, noch voor aansprakelijkheid die op grond van dwingend recht niet kan worden uitgesloten of beperkt.

Voor de contractuele aansprakelijkheid tussen YeA Solutions en uw organisatie geldt de regeling in de overeenkomst.

Artikel 11 -- Opschorting en beeindiging van toegang

YeA Solutions mag uw toegang tot de Software opschorten of beperken indien u deze voorwaarden overtreedt, bij (een vermoeden van) misbruik, of indien dit noodzakelijk is voor de veiligheid of stabiliteit van de Dienst. Uw toegang eindigt voorts wanneer uw organisatie uw account beindigt of wanneer de overeenkomst tussen YeA Solutions en uw organisatie eindigt.

Artikel 12 -- Wijziging van de voorwaarden

YeA Solutions kan deze gebruiksvoorwaarden van tijd tot tijd aanpassen. Wezenlijke wijzigingen kondigen wij ten minste dertig (30) dagen van tevoren aan via de Software of per e-mail. De meest actuele versie publiceren wij op onze website.

Artikel 13 -- Toepasselijk recht en geschillen

Op deze gebruiksvoorwaarden is uitsluitend Nederlands recht van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter van de rechtbank Midden-Nederland, locatie Utrecht/Amersfoort, onverminderd dwingendrechtelijke bevoegdheidsregels die een consument beschermen.

These terms of use apply to the use of services and software provided by YeA Solutions, a sole proprietorship (eenmanszaak) of Yermo Abrahams, established at Coulissen 278, 3826 PG Amersfoort, the Netherlands (hereinafter "YeA Solutions", "we" or "us"). By using our services or software, you accept these terms of use.

YeA Solutions provides consultancy and custom software to organisations (hereinafter "your organisation" or "client") under a separate agreement. As a user, you obtain access to software developed by us because your organisation invites you. The commercial terms (such as price, term and termination) are set out in the agreement between YeA Solutions and your organisation; these terms of use govern only your use of the software as a user.

Article 1 -- Definitions

• "Software" or "Service": custom software developed by YeA Solutions, including its website, modules, functionality and documentation;
• "User" or "you": the natural person who, after being invited by an organisation, uses the Software;
• "Your organisation": the customer organisation that has concluded an agreement with YeA Solutions and grants you access;
• "Content": all data that you or your organisation enter or upload into the Software.

Article 2 -- Applicability

These terms of use apply to all use of the Software and the website. Deviations apply only where agreed in writing with YeA Solutions. In the event of any conflict between these terms of use and the agreement with your organisation, the agreement prevails as regards that organisation.

Article 3 -- The Service

YeA Solutions provides consultancy and custom software tailored to organisations. The Service may include web applications, integrations, APIs and supporting modules. YeA Solutions may further develop, change or expand the Software from time to time to improve it or to comply with laws and regulations.

Article 4 -- Account and access

You access the Software via an account created on behalf of your organisation. You are responsible for keeping your login credentials confidential and for all use that takes place via your account. If you suspect misuse of your account, report this without delay to your organisation and to YeA Solutions. The Software is not intended for persons under the age of 16.

Article 5 -- Acceptable use

You use the Software carefully and lawfully. In particular, you may not:

• use the Software contrary to these terms, your organisation's instructions or applicable laws and regulations;
• disrupt or circumvent the security, integrity or availability of the Software, or obtain unauthorised access;
• copy, sell, rent, decompile or reverse-engineer the Software or parts of it, except to the extent mandatory law permits;
• enter or distribute unlawful, offensive, infringing or otherwise harmful Content.

Article 6 -- Content you enter

You retain the rights to the Content you enter. You grant YeA Solutions a right to use that Content to the extent necessary to provide the Service. You warrant that you are entitled to enter the Content and that it does not infringe any third-party rights. YeA Solutions processes personal data in the Software on behalf of your organisation; see the privacy statement and the data processing agreement between YeA Solutions and your organisation.

Article 7 -- Intellectual property

All intellectual property rights in the Software, the underlying software, the design, documentation and further developments belong exclusively to YeA Solutions or its licensors. These terms of use grant you only a personal, non-transferable right of use for the duration and within the limits of the access granted to you by your organisation. Nothing in these terms transfers any right.

Article 8 -- Availability and maintenance

YeA Solutions uses its best efforts to keep the Software available but does not guarantee uninterrupted or entirely error-free operation. Arrangements regarding service levels and availability are set out in the agreement between YeA Solutions and your organisation. YeA Solutions may temporarily take the Software out of service for (urgent) maintenance.

Article 9 -- Privacy

YeA Solutions processes personal data in accordance with the GDPR. The YeA Solutions privacy statement applies to the use of the Software. For data managed within the Software by your organisation, YeA Solutions acts as processor and your organisation is the controller.

Article 10 -- Liability

YeA Solutions provides the Service with the care of a diligent service provider (best-efforts obligation). To the extent permitted by law, the following applies:

• YeA Solutions is not liable towards you for indirect damage, including consequential damage, lost income, lost savings and damage due to loss of data;
• YeA Solutions' total liability towards you is limited, per event (with related events counting as one), to compensation for direct damage up to a maximum of EUR 10,000;
• these limitations do not apply to damage resulting from intent or wilful recklessness on the part of YeA Solutions, nor to liability that cannot be excluded or limited under mandatory law.

The contractual liability between YeA Solutions and your organisation is governed by the arrangement in the agreement.

Article 11 -- Suspension and termination of access

YeA Solutions may suspend or restrict your access to the Software if you breach these terms, in the event of (suspected) misuse, or where necessary for the security or stability of the Service. Your access also ends when your organisation terminates your account or when the agreement between YeA Solutions and your organisation ends.

Article 12 -- Changes to these terms

YeA Solutions may amend these terms of use from time to time. We announce material changes at least thirty (30) days in advance via the Software or by email. We publish the most current version on our website.

Article 13 -- Governing law and disputes

These terms of use are governed exclusively by Dutch law. Disputes are submitted to the competent court of the District Court of Midden-Nederland, location Utrecht/Amersfoort, without prejudice to mandatory rules of jurisdiction that protect a consumer.
